ATLANTA (AP) -- There is no guarantee that US Airways' unsolicited buyout offer of Delta will ever be consummated, but it surely will fall through if the pilots' pension plan at Delta is not terminated, lawyers for Delta's unsecured creditors committee said Tuesday.

As much as I would like to see a reason for this deal to fall through, I don't get this one. The Delta pilots, PBGC, and DL management have already agreed to the pension termination. If I am not mistaken the judge approved it as well.
How is this a barrier?

To the merger, it's not (already accomplished, as you said).

For bigbusboy's "carrot" (Doug offering to restore the pensions), it's a big barrier.
