This hostile takeover attempt is so finished...

wooo hooo yeah baby! it's party time when the offical call is made that the deal is dead , yeah take that delta , none of us even wanted you anyways , ( i think a swear word might be apporiate here ) Bltch !! . yeah!! sorry but no one i ever talked to from top to bottom at US air ever wanted anything to do with DL .Now it's back to bussiness , and by bussiness i mean tying up the lose contracts and actually MERGING the two airlines that now work side by side .

...Here's my take on the timeline, and maybe Guilding the Lily can add some comments/corrections...

Feb 1 - if the US offer is withdrawn, DL will almost certainly emerge under their plan.

Feb 7 - if the hearing takes place, DL will probably emerge under their plan.

Any time between now and Feb 7, the official Committee can signal if they're leaning toward the US offer by asking that the hearing be postponed, insisting on due diligence starting, etc. If none of that happens, it's likely that DL will emerge under their plan.

Likewise, from now till Feb 1 Parker can signal that he believes the Committee is leaning his way by extending the deadline.

Whatever happens, the next 9 days could be interesting or they could be boring. Depends on who does (or doesn't do) what.

You might include the possiblity that if the Vote date is delayed, which I believe is likely whether Parker withdraws his offer or not, another Airline may make a play for Delta and an entire new takeover war will begin. No matter what all the emotional bashers here say, I believe Parker made a very wise business decision limiting the takeover proposal to DL's bankruptcy period.

He had no choice but to limit the takeover period while DAL was still in bankruptcy. Hence, he wouldn't be able to make the "synergies" work.

Seytha,

Certainly another bidder is possible, even at this late date. None having appeared yet, my guess is that it's unlikely one will appear in time to stop DL from emerging as a stand-alone carrier. For almost any other potential suitor, the benefit of cutting additional capacity over and above what DL has already accomplished isn't that big a deal - much like the US/HP merger where US had already done what needed to be done from a cost standpoint.

It was a forgone conclusion. He can't manage the airline's costs and fleet to profitability without the assistance of the bankruptcy court. After DL exits, he actually has to (gasp!) honor aircraft leases and the like.

That's why they won't touch it after Delta emerges--they won't know what to do.
