It's quite possible that the proxy was printed before he resigned (I have not seen one yet, so I can't comment further).
Clue, maybe you are right. Hard to see how Seigel would be a productive member of the BOD given his tenure as CEO. I would guess his membership on the BOD would cause a great deal of conflict between himself and the Employee representative BOD memebers.
But on the other hand, who better to oversee the implementation of the "Plan" other than its creator?
