Do the deal or pay the dough: If merger falls apart, it'll cost airlines a lot

"There is not likely to be an alternative transaction that would confer a greater benefit" to creditors, the company said in the new bankruptcy court filing.

I would assume that SWA or JB would have to present a solid counter-proposal to the judge if they wanted to bid. Selectivly picking up assets and leaving others alone would be a hgard sell IMO...

More bids for US Airways unlikely

The Pittsburgh Tribune-Review reiterated what I said before that key partners with vested interests in the airline's survival have signed on to the deal, said Ron Kuhlman, an airline analyst who is vice president of Unisys Transportation of Oakland, Calif., which make it difficult for other suitors to put together a competing package. In addition, other suitors would not want to try bridging the cultural gap between two companies' labor groups, he said.

I think you misunderstand something right now.. The door is open.. Yes AmericaWest has a deal.. But the judge now has to look at any and all other offeres that come up.. Whats the time frame, something like 60 days to review any other alternatives that come into play.

Southwest and jetBlue are very very smart operators.. They know exactly what they are doing and you can be rest assured they have a plan.

US Airways filed a motion inviting other parties to file a POR, but I believe the US Airways - America West agreement with third party financing will not be beat by other offers.

The creditors need to be best served, regardless of Southwest or JetBlue's desires, and Judge Mitchell has ruled in favor of the company nearly 100% of the time. He will likely rule in favor of the debtor again.

If a better deal comes along than the current America West agreement I expect the company and the judge to take that offer, but I do not see that happening becuase of the detail and financial community support of this agreement.

What U wants is totally irrelevent. What will determine this is how the unsecured creditors fare. If the AWA/U deal gets them more money then any competing deal, then that deal will win. If any outside party comes in with a bid that gets more money into the hands of the unsecured creditors, then watch out because all bets are off.

If WN really wants the Philly gates and aircraft, they find some partners who perhaps want the shuttle routes and slots, then they find someone who may want another piece of U, etc., etc., etc. They all overpay just a bit to get the bid high enough so that they can kill the AWA/U deal and also reduce capacity of the industry overall so that they can increase yield because of a lesser capacity.

BINGO

Sadly, look for some assets of U to be spun off in the coming weeks/months to solidify the deal and placate any antitrust argumentors. Thus is why the opening of any counteroffers. This would have been required by the BK judge anyway.

Pilot Seniority

Start with three phantom bids; one a straight DOH, one a straight R/P slot, and one a R/P based on common fleet (737,AB,757) with the 767I and 330 cut into a straight DOH; future A-350 awarded by a "Top Dog"ratio.

Three year freeze on all C/O positions. Nobody in or out unless expansion occurs after snapshot. Block hour to staffing ratio determined to make sure no one loses their C/O bid unless the airline shrinks/closes a base. Bumping rights TBD.

Expansion available to ALL based on a ratio.
